Terms of Service

1. Agreement

By accessing or using the AKMI Human Performance platform ("Service"), operated by Up2Excel LLC ("Company", "we"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

AKMI is a software-as-a-service platform for biomechanical coaches. The Service provides tools for client assessment, workout programming, nutrition planning, video analysis, and reporting. The Service does not provide medical advice, diagnosis, or treatment.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use. Coach accounts are personal and may not be shared or transferred.

4. Subscription and Payment

Access to the Service requires a paid subscription after the trial period. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law. We reserve the right to modify pricing with 30 days notice.

5. Client Data

You retain full ownership of all client data you input into the Service. We process client data solely to provide the Service. You are responsible for obtaining appropriate consent from your clients before inputting their personal or health data. See our Privacy Policy for details on data handling.

6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) upload malicious content; (c) attempt to access other users' accounts or data; (d) reverse engineer the Service; (e) resell access to the Service without written authorization.

7. Intellectual Property

The Service, including its design, features, code, methodologies, and assessment frameworks, is the intellectual property of Up2Excel LLC. Your subscription grants a limited, non-exclusive, non-transferable license to use the Service for your coaching practice.

8. Disclaimer

The Service is provided "as is" without warranties of any kind. We do not guarantee that assessment outputs, exercise recommendations, or nutritional guidance are appropriate for any specific individual. Coaches are solely responsible for applying professional judgment in their practice.

9. Limitation of Liability

To the maximum extent permitted by law, Up2Excel LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid in the 12 months preceding the claim.

10. Termination

Either party may terminate at any time. Upon termination, you may export your data for 30 days. After 30 days, data will be deleted in accordance with our data retention policy. We may suspend accounts that violate these Terms without notice.

11. Governing Law

These Terms are governed by the laws of the State of Florida, United States. Any disputes shall be resolved in the courts of Florida.

12. Changes

We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days in advance. Continued use after changes constitutes acceptance.
